Chemrex Corporation is a Malaysian distributor of industrial chemical and composite raw materials, established in 2004 and wholly owned by BioNexus since 2020. Its portfolio centres on fibre-reinforced polymer inputs—including polyester resins, fibreglass reinforcements and fillers—used by manufacturers, fabricators and contractors.
From its Cheras Jaya distribution and supply hub, Chemrex supports material selection, sourcing, storage and product traceability for a wide range of industrial applications.
Chemrex is restructuring around its core strengths—sharpening its product and customer focus, rebuilding volumes and reinforcing the operating and governance disciplines that support sustainable growth.
As of June 30, 2026, Chemrex continued to derive substantially all of its revenue from industrial chemical trading. BGLC's Board has authorized management to explore potential contract development and manufacturing (CDMO) opportunities; that authorization does not commit BGLC to a definitive transition. Fidelion Diagnostics
Through its November 2025 reciprocal equity and licensing transaction with Fidelion Diagnostics, BGLC acquired an approximately 15% interest in Fidelion and exclusive ASEAN rights to VitaGuard™. Regional use remains subject to technical validation, regulatory requirements, laboratory implementation and commercial execution.

Ascension Innovation is a Malaysian healthcare-technology company focused on predictive analytics and related data-driven tools. BGLC holds an approximately 10% interest in Ascension as of July 24, 2026, based on current management certification.
Healthcare technology & digital innovationCogniAI healthcare license
On October 5, 2026, BGLC entered into an agreement with Ruanyun Edai Technology Inc. (Nasdaq: RYET) under which, subject to closing, BGLC and its controlled affiliates would receive an exclusive Malaysian healthcare license to RYET's CogniAI document-intelligence platform, including rights to develop, brand and sublicense applications. At closing, BGLC would issue 410,000 common shares as the stated license consideration and a further 150,000 common shares in exchange for 500,000 RYET ordinary shares—together approximately 16.0% of BGLC's outstanding common shares immediately after issuance.
Closing remains subject to technology acceptance, due diligence, required corporate and regulatory approvals and securities-law compliance, and may not occur. Terms are summarized in BGLC's Form 8-K and qualified by the filed agreement.
